Verification Service Terms of Service
1. Contractual Structure
Services are performed by the Service Provider as an independent consultant.
For clients located within the European Union, contractual engagement and invoicing are administered through Nordland Medie, CVR no. 42132616, Fyrvejen 40, 7900 Nykobing M., Denmark as contracting and billing entity.
The Service Provider performs the operational verification services independently. Nordland Medie acts solely as contractual counterparty and invoicing administrator unless otherwise agreed in writing.
2. Nature of Engagement
The Service Provider acts as an independent verifier providing an observational, site-based assessment of a specified facility.
The Service consists of a professional evaluation based on:
Physical presence at the facility
Visual observation
Narrated video documentation
Interviews conducted during the visit
Documentation made available at the time of inspection
The Service constitutes a snapshot assessment reflecting conditions observed on the specific date and time of the visit.
The Service:
Is not a statutory audit
Is not a compliance certification
Is not a legal opinion
Is not a guarantee of regulatory adherence
Is not an assurance of future performance
The report does not replace mandatory certifications (e.g., BSCI, SMETA) or legally required compliance audits.
The Service Provider assumes no obligation to monitor, update, or re-verify conditions after delivery of the report unless separately agreed in writing.
3. Scope and Access Limitations
Verification is strictly limited to areas, personnel, and documentation made accessible during the visit.
The Client acknowledges that:
Access may be restricted by the facility
Certain areas may be denied or inaccessible
Documents may be incomplete or withheld
Personnel may decline interviews
That under the Omnibus Directive (EU) 2026/470, SME suppliers may invoke the 'Value Chain Information Cap.' The Service Provider is not liable for data gaps resulting from a supplier’s exercise of statutory reporting limits.
The Service Provider shall not be liable for:
Conditions outside the scope of agreed verification
Matters not observable during the visit
Concealed practices or intentional misrepresentation
Non-compliance in areas where access was restricted or denied
Any access limitations observed during the visit will be documented in the report.
4. No Warranty
The Service Provider makes no express or implied warranties regarding:
Completeness of findings
Ongoing compliance status
Absence of concealed violations
Future conduct of the facility
Regulatory enforcement outcomes
All findings are based solely on conditions observable at the time of inspection.
5. Limitation of Liability
While reasonable professional care is exercised, neither the Service Provider nor Nordland Medie shall be held liable for:
Concealed violations (including hidden labor practices or off-site production)
Third-party actions or regulatory enforcement decisions
Business interruption
Reputational damage
Indirect or consequential losses
Loss of profit or opportunity
Total liability for any claim related to the Service shall be strictly limited to the professional fee paid for the specific engagement.
6. Reliance and Use of Report
The report is prepared solely for the Client’s internal risk assessment and governance purposes.
While the Report is intended to serve as 'Primary Evidence' for the Client’s sustainability reporting (CSRD/ESRS), the final determination of 'Limited' or 'Reasonable' assurance rests solely with the Client’s external assurance provider. The Service Provider does not guarantee auditor acceptance of findings.
It may not be relied upon by third parties without prior written consent.
Neither the Service Provider nor Nordland Medie assumes any duty of care toward third parties.
7. Access & Payment Terms
The Client is responsible for ensuring facility access.
If access is denied upon arrival through no fault of the Service Provider:
The full professional fee remains payable.
Travel expenses are billed at cost and are non-refundable once incurred.
Payment terms and invoicing are administered by Nordland Medie unless otherwise agreed.
8. Confidentiality & Data
All reports and recorded materials are the property of the Client.
The Service Provider will not disclose facility information to third parties except where required by law.
Confidential information obtained during the engagement will be treated with professional discretion.
Processing of personal data is governed by the applicable Privacy Policy.
The Service Provider utilizes timestamped and geotagged digital evidence to ensure data integrity. Recorded materials will be stored by the Service Provider for a period of 24 months following delivery, after which they may be deleted unless a longer retention period is agreed upon for legal compliance purposes.
9. Force Majeure
Neither the Service Provider nor Nordland Medie shall be liable for any delay or failure in performance resulting from events beyond reasonable control, including but not limited to:
Natural disasters
Epidemics or pandemics
War, civil unrest, or political instability
Government restrictions or travel bans
Transportation disruptions
Strikes or labor disputes
Power or communication failures
If a Force Majeure event prevents performance, the affected party shall notify the Client without undue delay.
Where performance becomes impossible due to Force Majeure, either party may terminate the engagement without liability, except for payment of fees and expenses already incurred.
10. Professional Independence
The Service Provider performs all services independently and exercises professional judgment without influence from the Client, the facility being assessed, or any third party.
The Client acknowledges that:
Findings are based solely on observed conditions and professional evaluation
The Service Provider retains full discretion over report content and conclusions
No party may alter, edit, or selectively present findings in a misleading manner
The Client is prohibited from using edited snippets of video documentation or isolated report excerpts in public-facing sustainability statements (CSRD) without including the full context of the Verification Report. Any such 'selective' use that results in greenwashing allegations is the sole liability of the Client.
Any unauthorized modification or selective use of the report releases the Service Provider and Nordland Medie from all liability arising from such use.
11. Indemnification
The Client agrees to indemnify and hold harmless the Service Provider and Nordland Medie against any claims, damages, losses, liabilities, or expenses arising from:
Misuse or unauthorized distribution of the report
Reliance by third parties without written consent
Inaccurate or incomplete information provided by the Client or facility
Access restrictions imposed by the facility
Any alteration of the report without written approval
This indemnification shall not apply in cases of proven gross negligence or willful misconduct by the Service Provider.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Denmark.
Any dispute arising from the Service shall be subject to the exclusive jurisdiction of the Danish courts.
